Article I: Duties of Officers and Directors
The President. The President shall preside at all meetings and shall be chief executive officer of the Association. The President shall have general supervision over the development of the Association’s entire program, shall make all committee appointments not already set forth in the By Laws, and shall be an ex-officio member of all committees.
The Vice President. The Vice President shall perform the duties of the President in his/her absence. The Vice President shall be responsible for the planning of any seminars and special meetings sponsored by the Association. The Vice President shall serve on any committees as set forth in these By Laws or as designated by the President.
The Secretary. The Secretary shall publish a twice yearly e-newsletter, regularly post NCAGIO announcements and news on the association’s Facebook page and website, and maintain the email lists. The Secretary shall serve on the Seminar Planning Committee, the Membership Committee, and on other committees as directed by the President.
The Treasurer. The Treasurer shall be custodian of all Association funds and shall keep a record of the receipts and expenditures of the Association and maintain the Membership Roster. Funds received by the Treasurer shall be deposited in a bank to the account(s) of the Association. The Treasurer shall make a written report to the membership at the Association’s annual seminar and at other times as directed by the President. The Treasurer shall serve on the Seminar Planning Committee.
The Program Chairman. The program chairman shall be responsible for inviting speakers or arranging events for the monthly membership meetings and arranging a venue for those events. The program chairman may send information on the meetings to the membership, or to the secretary to send.
The Membership Chairman. The membership chairman shall be responsible for recruiting new members and maintaining the membership list.
Directors. The Directors shall serve as chairs of the Membership and Program committees of the Association and perform other duties as assigned to them by the President.
Article II: Meetings
General Membership Meetings. The Association shall meet at noon on the third Tuesday of each month or at such other times and places as may be designated by the Board of Directors.
Board of Directors Meetings. The meetings of the Board of Directors shall be held at a time and place designated by the President, but shall meet at least once each calendar quarter.
Committee Meetings. The Chairmen of the respective committees, either standing committees of the Association or others created by the Board of Directors, shall designate the time and place of the meetings.
Article III: Elections
A nominating committee of no fewer than three (3) full members shall be appointed by the President at the October general membership meeting. The nominating committee shall present a slate of candidates to the membership at the November meeting. Additional nominations may be accepted from the floor.
In a contested election, a majority vote by secret ballot of the full membership present at the November meeting shall be necessary for election of officers.
Officers will assume their responsibilities on the first day of January.
Article IV: Standing Committees
Special Committees. The President shall appoint such special committees as he/she may deem necessary for the proper transaction of the business of the Association.
Article V: Dues
Full Membership. Full membership dues are $10.00 annually and are payable at the time application for membership is made and shall extend membership through December 31 of each calendar year.
Associate Membership. Associate Membership may be granted to any individual by the Board of Directors. Associate Members shall be entitled to privileges of the Association and upon such conditions as determined by the Board of Directors, except that they shall not be eligible to hold office in the Association and shall not be accorded the privilege of voting. Associate membership dues are $10.00 annually and are payable at the time application for Associate Membership is made and shall extend membership through December 31 of each calendar year.
Article VI: Amendments
The by-laws of the Association may be amended by a two-thirds vote of those full members in attendance at the business meeting during the annual seminar.
